Very few UAE businesses are exempt from e-invoicing. The only exclusion announced so far is specific: the October 2026 MoF amendment temporarily excludes certain business transactions between members of the same Tax Group for 24 months from 1 January 2027. Industry, free-zone status, size or a related-party relationship is not an exemption on its own.
Why this matters now. “We’re exempt” is the most expensive sentence in e-invoicing: it ends preparation. Separating scope (are we in?) from exclusion (is this flow carved out?) takes a short, documented review and protects both the deadline and the budget.
What is the difference between scope and exclusion?
Scope asks whether the entity and transaction fall inside the framework at all. Exclusion asks whether a specific provision removes a transaction that would otherwise be in scope. Decide and document both separately.
What does the Tax Group exclusion cover?
Certain business transactions between persons who are members of the same Tax Group, for 24 months from 1 January 2027, per the October 2026 amendment. It does not cover all group companies, all related parties or any period after the 24 months. Read the wording for conditions.
How do I test whether an exclusion applies?
- Record the legal parties and their Tax Group status.
- Record the transaction type and date.
- Match the facts to the exact conditions in the current legislation.
- Ask a qualified adviser about any unusual transaction.
What evidence should I keep?
The official provision, the facts relied on, the reviewer’s name, the review date and the expiry condition (for the Tax Group exclusion, 24 months). Re-check when laws, group structures or Tax Group membership change.
Worked example: the intercompany question
A holding company invoices quarterly management fees to three subsidiaries. Two are members of the same Tax Group as the holding company; the third is not. For the two, the business records the facts, matches them to the October 2026 amendment’s wording and, if the conditions are met, treats those flows as temporarily excluded until the 24-month period from 1 January 2027 ends. For the third subsidiary there is no exclusion to rely on, and its management-fee invoices follow the normal scope analysis. One contract, two answers, both documented.
Common claims that are not exemptions
- “We are a small business.” This is a phase question, not an exemption.
- “We are in a free zone.” Licence type does not remove transactions from the framework.
- “We are in a regulated sector.” No general industry exemption has been published; check the current text for sector-specific provisions.
- “All our customers are related companies.” Only same-Tax-Group transactions meeting the amendment’s conditions are excluded, and only temporarily.
Mistakes to avoid
- Extending the Tax Group exclusion to any intercompany invoice.
- Treating a sector, size or free-zone status as an exemption.
- Forgetting that the exclusion is temporary.
Frequently asked questions
Are small businesses exempt from UAE e-invoicing? No. Small businesses fall in a later phase; that is a different date, not an exemption.
Are all intercompany invoices excluded from UAE e-invoicing? No. Only certain transactions between members of the same Tax Group are temporarily excluded, for 24 months from 1 January 2027.
Is there an industry exemption from UAE e-invoicing? No general industry exemption has been published. Check the current legal text for any sector-specific provision.
Key takeaways
- Scope and exclusion are two separate, documented decisions.
- The published exclusion is narrow: same Tax Group, 24 months from 1 January 2027.
- Keep the provision, facts, reviewer and expiry date on file.
